I have entered into a contract with _________________________________ (Project Sponsor) for the installation of energy efficiency measures at the project site located at the above address.

I hereby acknowledge the following:

A. The Project Sponsor identified above has entered into an agreement (the Standard Offer Program Agreement, hereafter, "the SOP Agreement") with CenterPoint Energy for delivery of energy savings resulting from the installation of energy-efficiency measures and technologies. This Certificate, which the Project Sponsor will provide to CenterPoint Energy, is a requirement of the SOP Agreement between the Project Sponsor and CenterPoint Energy.
B. I, or my agent (which may include the Project Sponsor), have determined that the CFLs installed under this program replace lamps that are in use a minimum of 3 hours per day.
C. The measures described on the Customer Agreement (attached) have been installed to my satisfaction.
D. Prior to my signing a contract with the Project Sponsor, the Project Sponsor provided, for my review, a copy of the Public Utility Commission of Texas approved "Customer Disclosure Form."
E. The Project Sponsor has explained procedures for filing a complaint with CenterPoint Energy, with the Public Utility Commission or the Texas Attorney General Office. Complaints filed with CenterPoint Energy are for the sole purpose of evaluating Project Sponsor performance. CenterPoint Energy will not intervene in any Project Sponsor/Customer disputes.
F. By its acceptance of the project for participation in CenterPoint Energy's Standard Offer Program (hereafter, "the SOP Program"), I understand that CenterPoint Energy does NOT:

1)

 make any warranty or representation of any kind regarding installation or implementation of energy efficiency measures, the benefits to be derived from the measures, or the merchantability or fitness of the measures or installation for any particular purpose; or
2) become a party to any contract between ____________________________________ (Project Sponsor) and ___________________________________ (Customer name).
G. I understand that the Project Sponsor is an independent contractor and is not authorized to make any representations or incur any obligations on behalf of CenterPoint Energy. I acknowledge that CenterPoint Energy is not a party to the Customer Agreement and that Project Sponsor is solely responsible for performance thereunder.
